Contributors Policies

1. Acceptance of Terms

By accessing, registering for, or using the contributor services ("Services") provided by Sham Marianas F.Z.C, ("Platform," "we," "us," or "our") at www.shammarianas.com, you ("Contributor," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all Terms, you may not access or use our Services.

2. Contributor Account & Security

  • You must provide accurate and complete registration information and keep this information updated.
  • You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.
  • Sham Marianas F.Z.C, reserves the right to suspend or terminate accounts that provide false information, are used for fraudulent purposes, or violate these Terms.

3. Content Submission & Licensing

Ownership & Grant of License

You retain ownership of all intellectual property rights in the content you submit ("Assets"). By submitting an Asset, you grant Sham Marianas F.Z.C, a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify for technical purposes, publicly display, and distribute the Asset for operating, marketing, and licensing the Asset through the Platform.

Your Warranties

You represent and warrant for each Asset you submit that:

  • You are the sole creator and owner of all rights, or you have all necessary rights, licenses, and releases to grant the license in Section 3.
  • The Asset does not infringe upon any third-party intellectual property, privacy, or publicity rights.
  • You have obtained and can provide valid, written model and/or property releases for all recognizable persons and private property as required.
  • The Asset is not defamatory, illegal, or in violation of any applicable laws or community standards.

4. Review, Rejection, & Removal

  • All Assets are subject to a review process by Sham Marianas F.Z.C. We reserve the right, at our sole discretion, to accept or reject any submission for any reason, including but not limited to perceived quality, marketability, or legal concerns.
  • We may remove any published Asset from the Platform at any time if we believe it violates these Terms, our policies, or applicable law.

5. Commission & Payments

  • The commission rate payable to you for licensed Assets is detailed in your Contributor Dashboard and may vary based on your contributor tier and other factors.
  • Payments are issued monthly for accrued earnings that meet the minimum payout threshold ($50). Sham Marianas F.Z.C, reserves the right to modify commission structures, payout thresholds, and payment methods with a 30-day advance notice to contributors.
  • You are responsible for any taxes or fees associated with your earnings from the Platform.

6. Platform Rights & Modifications

Sham Marianas F.Z.C, reserves the right to:

  • Modify, update, or discontinue the Services or any part thereof at any time.
  • Update these Terms and our policies (including submission guidelines) at our discretion. Continued use of the Services after changes constitutes acceptance of the new Terms.
  • Determine all aspects of the Services, including website design, functionality, and licensing agreements with customers.

7. Prohibited Conduct

You agree not to:

  • Submit unlawful content, infringing, pornographic, or otherwise violates our policies.
  • Submit spam, duplicate assets, or attempt to manipulate search rankings.
  • Use the Services for any illegal or unauthorized purpose.
  • Misrepresent the source, origin, or subject matter of any Asset.

8. Disclaimer of Warranties & Limitation of Liability

  • THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Sham Marianas F.Z.C MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
  • TO THE FULLEST EXTENT PERMITTED BY LAW, Sham Marianas F.Z.C, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sham Marianas F.Z.C, its affiliates, and their respective officers and employees from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms, your submitted Assets, or your use of the Services.

10. Termination

Either party may terminate these Terms at any time by providing notice. Upon termination, the license granted in Section 3 will persist for Assets already licensed to customers. Sham Marianas F.Z.C, may withhold final payments for a reasonable period to cover potential chargebacks or legal claims.

11. General Provisions

Governing Law & Dispute Resolution

These Terms shall be governed by the laws of [State/Country, e.g., California, USA]. Any disputes shall be resolved in the courts located in [Jurisdiction, e.g., San Francisco County, California].

Entire Agreement

These Terms constitute the entire agreement between you and Sham Marianas F.Z.C, regarding the Services.
